Terms of service
The terms that govern your use of the ERP service, from subscriptions to data ownership and AI features.
01Agreement
These terms apply when you create an account or use the ERP service. If you accept them on behalf of a business, you confirm you have authority to bind that business, and "you" means that business.
02The service
The service is a cloud ERP covering inventory, purchase, production, sales, accounts and GST registers, with reporting and AI insights. The modules available to you depend on your plan.
We may improve or change features over time. We will not remove a core module from a plan during a paid term.
03Accounts and users
Each user must have their own login. You are responsible for who you give access to, the roles you assign, and keeping credentials confidential. Tell us promptly if you suspect unauthorised access.
04Plans, fees and billing
Plans are priced per user, per year, and billed annually in advance. Prices are shown before applicable taxes.
Adding users or moving up a plan is charged pro rata for the rest of the term. Moving down takes effect at renewal. Data migration and onboarding are quoted and invoiced separately.
If an invoice is unpaid 30 days after its due date, we may limit the account to read only access after giving you notice. Your data is not deleted for non payment during this period.
05Your data
You own the business data you enter. You grant us permission to host, process and back it up only to provide and support the service.
You can export your data at any time. On cancellation the account stays readable for 60 days for a final export.
06AI recommendations
Forecasts, reorder suggestions, cash alerts and similar outputs are estimates based on your data. They can be wrong. They are provided to support decisions, not to make them.
Purchase orders and payments require approval by a user in your organisation. You remain responsible for the business decisions you take.
07GST and statutory reports
GST registers, reconciliations and return workings are prepared for review. They are not filed by the service. Filing, the accuracy of what is filed, and any tax position taken remain the responsibility of you and your accountant or tax professional.
08Acceptable use
- Do not attempt to access other customers’ data or probe the service for vulnerabilities without written permission
- Do not use the service to store unlawful content or to carry out fraud
- Do not resell access to the service without an agreement with us
- Do not overload the service through automated access outside the published API limits
09Availability and support
We aim for the service to be available at all times outside announced maintenance windows, which are scheduled outside common working hours where possible. Support response times depend on your plan.
10Limitation of liability
To the extent permitted by law, our total liability for any claim relating to the service is limited to the fees you paid for the service in the 12 months before the claim. We are not liable for indirect or consequential loss, such as lost profit or lost business.
11Termination
You can cancel at any time, effective at the end of the current term. We may suspend or end an account that seriously breaches these terms, after notice where reasonable.
12Governing law
These terms are governed by the laws of India. Any dispute that cannot be resolved by discussion will be heard by the competent courts in India.
